Cum s\u0103 te protejezi de v\u00e2nz\u0103ri sau promisiuni succesive asupra bunului sau cum s\u0103 fii protejat \u00een cazul \u00een care dezvoltatorul\/investitorul (promitentul-v\u00e2nz\u0103tor) intr\u0103 \u00een procedura insolven\u021bei.<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">C\u00e2nd \u00eenchei un contract, mai ales unul ce implic\u0103 investi\u021bii de zeci de mii de euro, este aproape de neconceput s\u0103 nu consul\u021bi un avocat. \u00cen cele ce urmeaz\u0103 voi expune, pe scurt, la ce s\u0103 fii atent c\u00e2nd \u00eenchei o promisiune de v\u00e2nzare cump\u0103rare.\u00a0<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" style=\"font-size:17px\"><strong>Context. Ce este promisiunea de v\u00e2nzare-cump\u0103rare sau antecontractul.<\/strong><\/h2>\n\n\n\n<p style=\"margin-top:10px;margin-bottom:10px;font-style:normal;font-weight:500\">Promisiunea de v\u00e2nzare-cump\u0103rare sau antecontractul este un contract prin care una dintre p\u0103r\u021bi (promitentul-v\u00e2nz\u0103tor) se oblig\u0103 s\u0103 v\u00e2nd\u0103, iar cealalt\u0103 parte (promitentul-cump\u0103r\u0103tor) se oblig\u0103 s\u0103 cumpere un anumit bun \u00een viitor, \u00een condi\u021biile stabilite de comun acord. Acest tip de contract preliminar stabile\u0219te obliga\u021biile p\u0103r\u021bilor de a \u00eencheia un contract de v\u00e2nzare-cump\u0103rare propriu-zis, la un termen ulterior \u0219i \u00een condi\u021biile specificate \u00een promisiune.&nbsp;<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">Promisiunea de v\u00e2nzare-cump\u0103rare nu transfer\u0103 dreptul de proprietate asupra bunului, ci doar creeaz\u0103 o obliga\u021bie de a \u00eencheia \u00een viitor contractul de v\u00e2nzare-cump\u0103rare.&nbsp;<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">Poate fi unilateral\u0103 (doar una dintre p\u0103r\u021bi \u00ee\u0219i asum\u0103 obliga\u021bia de a vinde sau de a cump\u0103ra) sau bilateral\u0103 (ambele p\u0103r\u021bi \u00ee\u0219i asum\u0103 obliga\u021bia de a vinde \u0219i de a cump\u0103ra).&nbsp;<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">Practic este instrumentul cel mai des utilizat de c\u0103tre dezvoltatori imobiliari pentru a vinde imobile care nu sunt \u00eenc\u0103 finalizate \u0219i se afl\u0103 \u00een diferite stadii de construc\u021bie.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" style=\"font-size:17px\"><strong>Cum te aperi sau la ce s\u0103 fii atent \u00eentr-o promisiune de v\u00e2nzare-cump\u0103rare. <\/strong><\/h2>\n\n\n\n<p style=\"margin-top:10px;margin-bottom:10px;font-style:normal;font-weight:500\"><strong>Unu.<\/strong> Notezi \u00een Cartea Funciar\u0103 promisunea de v\u00e2nzare-cump\u0103rare. Acest lucru prezint\u0103 mai multe avantaje pentru tine, \u00een calitate de promitent-cump\u0103r\u0103tor, inclusiv \u00een cazul \u00een care societatea intr\u0103 \u00een procedura insolven\u021bei, astfel:<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">a) este o modalitate prin care tu faci cunoscut public dreptul t\u0103u asupra bunului imobil respectiv, astfel c\u0103 nu vei fi afectat de promisiuni sau v\u00e2nz\u0103ri ulterioare. Mai mult, este posibil s\u0103 fii preferat \u0219i \u00een fa\u021ba unor cump\u0103r\u0103tori (promiten\u021bi) anteriori care nu \u0219i-au notat dreptul \u00een cartea funciar\u0103.<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">b) dac\u0103 dezvoltatorul (promitentul-v\u00e2nz\u0103tor) intr\u0103 \u00een insolven\u021b\u0103, tu, \u00een calitate de promitent-cump\u0103r\u0103tor, po\u021bi solicita autentificarea contractului de v\u00e2nzare (\u0219i astfel vei intra \u00een posesia imobilului), care se va \u00eencheia cu lichidatorul desemnat, cu condi\u021bia s\u0103 achi\u021bi pre\u021bul \u00eentreg.<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">Necesar de punctat este faptul c\u0103 \u00een cazul \u00een care imobilul nu are carte funciar\u0103 deoarece nu este edificat, antecontractul (promisiunea de v\u00e2nzare-cump\u0103rare) poate fi notat \u00een cartea funciar\u0103 aferent\u0103 terenului pe care se realizeaz\u0103 construc\u021bia.<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\"><strong>Doi. <\/strong>Conform art. 2386 pct. 2 Cod civil, dac\u0103 ai notat \u00een cartea funciar\u0103 promisiunea de v\u00e2nzare-cump\u0103rare, beneficiezi de o ipotec\u0103 legal\u0103 asupra sumelor pl\u0103tite dezvoltatorului imobiliar \u00een cazul \u00een care, din culpa sau datorit\u0103 refuzului acestuia, promisiunea nu se mai concretizeaz\u0103 \u00eentr-un contract definitiv de v\u00e2nzare.<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">Mai mult, dac\u0103 promitentul-v\u00e2nz\u0103tor (dezvoltatorul) intr\u0103 \u00een procedura insolven\u021bei, vei avea prioritate la plata debitului din pre\u021bul adjudec\u0103rii la licita\u021bie a imobilului. Dac\u0103 nu ai avea ipotec\u0103, ai fi un simplu creditor chirografar, f\u0103r\u0103 garan\u021bii, care risc\u0103 s\u0103 nu primeasc\u0103 nimic din bunul imobil v\u00e2ndut dac\u0103 sunt al\u021bii creditori cu ipotec\u0103 \u00eenaintea ta.<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\">Practic, acestea sunt aproape singurele garan\u021bii efective pe care le are un promitent-cump\u0103r\u0103tor \u00een legisla\u021bia rom\u00e2neasc\u0103.&nbsp;<\/p>\n\n\n\n<p style=\"font-style:normal;font-weight:500\"><strong>Pentru toate celelalte exist\u0103 <a href=\"https:\/\/beyondlegal.ro\/avocat-contracte-timisoara\/\">avoca\u021bi specializa\u021bi \u00een contracte.<\/a><\/strong><\/p>","protected":false},"excerpt":{"rendered":"<p>Este important s\u0103 cuno\u0219ti cum po\u021bi s\u0103 te \u201eaperi\u201d \u00eentr-un contract de promisiune de v\u00e2nzare-cump\u0103rare.
